These Terms and Conditions (the “Terms”) are a public offer of PE Hontsa Andrii to sell licenses to the software and services described on advancedsoftwarefeatures.com (the “Website”). By ticking the box at checkout and paying, or by starting a free trial, you accept these Terms in full.

1. Seller

  • Seller: PE Hontsa Andrii (Advanced Software Features), a registered individual entrepreneur in Ukraine and a licensed NinjaTrader vendor

“You” means the person who buys or uses a product. You must be at least 18 years old.

2. Products and services

  • Software: indicators, automated strategies, add-ons and other tools for the NinjaTrader 8 platform (for example, the ASF Pack), delivered as a download from your account on the Website.
  • Custom development: indicators, strategies or add-ons made to your request under a separately agreed specification and price.

Product pages state the price, the license period and the system requirements (such as the NinjaTrader version and any third-party subscriptions a feature needs). NinjaTrader itself, market data, brokerage accounts and third-party services are not part of our products and are provided by their own companies under their own terms.

3. License

  1. The software is licensed, not sold. On payment (or when a free trial starts) we grant you a personal, non-exclusive, non-transferable license to use the software for the period you paid for, or without time limit for a Lifetime license, subject to these Terms.
  2. The license is tied to the email address of your NinjaTrader account, which you give at checkout, and is activated through NinjaTrader’s licensing system. You may use the software on any number of your own computers signed in with that NinjaTrader account.
  3. You may not:
    • share, resell, rent, sublicense or publish the software or your license;
    • let other people use the software through your NinjaTrader account;
    • decompile, disassemble, decrypt, modify or otherwise try to obtain the source code of the software;
    • remove or bypass license protection;
    • use the software or any part of it to build a competing product.
  4. All intellectual property rights in the software, its documentation and the Website remain with the Seller.
  5. If you breach this section, we may end your license without a refund after notifying you by email.

4. Plans, free trial and renewal

  1. Plans are prepaid for the period chosen at checkout (for example, a month, a quarter, half a year or a year) or are Lifetime. A Lifetime license lasts for as long as the product is offered and supported for NinjaTrader 8; it does not include future products that are sold separately.
  2. A plan does not renew automatically unless the checkout page clearly says that it does. If it does, the renewal price and date are shown before you pay, we remind you by email before each renewal, and you can cancel at any time from your account or by email, effective at the end of the paid period.
  3. The free trial lasts 14 days, needs no payment and ends by itself. One trial per person.
  4. When a period ends, the software stops working until you buy a new period. Your settings stay on your computer.
  5. Updates released during the paid period are included. We may change or discontinue features in future versions; we will not reduce the core functionality you paid for during a period already paid.

5. Prices and payment

  1. Prices are shown on the Website in the currency stated there. Your bank may charge its own conversion or cross-border fees.
  2. Card payments are processed by monobank (Universal Bank JSC) on its secure payment page. We never see or store your card details.
  3. Discounts, coupons and reward tokens apply only under the conditions stated on the Website at the time of use and cannot be exchanged for money.
  4. We may change prices at any time; a change does not affect a period you have already paid for.

6. Delivery

The software is delivered digitally: the download becomes available in your account, and the license is activated, usually within one business day after payment. If you have not received access within that time, contact us.

7. Refunds and cancellation

  1. You can try the software free of charge for 14 days before paying. For this reason, payments for licenses are final once the license has been activated, except as set out below.
  2. We will refund the payment in full if the software was not delivered, or if it does not work as described on the product page on a computer that meets the stated requirements and we cannot fix the problem within a reasonable time after you report it with the details we ask for.
  3. Consumers in the EU, the UK and other countries with a right of withdrawal: by ticking the box at checkout you ask us to deliver the digital content immediately and acknowledge that you thereby lose your right of withdrawal once delivery has started.
  4. Custom development: the agreed price is due as stated in the specification. Work already done is not refundable. If we cannot deliver the agreed result, we refund the part of the price for work not done.
  5. Nothing in these Terms limits any rights you have under the mandatory consumer law of your country of residence.

8. Support

Support is provided by email at support@advancedsoftwarefeatures.com during the paid period. Logs and screenshots you send us are used only to resolve your request.

9. Risk disclosures

The software is a tool. We do not provide investment, financial or trading advice, we do not manage accounts, and we do not trade on your behalf. Every trading decision, including the decision to run an automated strategy, is yours.

Risk disclosure:

Futures and forex trading contains substantial risk and is not for every investor. An investor could potentially lose all or more than the initial investment. Risk capital is money that can be lost without jeopardizing ones’ financial security or life style. Only risk capital should be used for trading and only those with sufficient risk capital should consider trading. Past performance is not necessarily indicative of future results.

Hypothetical performance disclosure:

Hypothetical performance results have many inherent limitations, some of which are described below. no representation is being made that any account will or is likely to achieve profits or losses similar to those shown; in fact, there are frequently sharp differences between hypothetical performance results and the actual results subsequently achieved by any particular trading program. One of the limitations of hypothetical performance results is that they are generally prepared with the benefit of hindsight. In addition, hypothetical trading does not involve financial risk, and no hypothetical trading record can completely account for the impact of financial risk of actual trading. for example, the ability to withstand losses or to adhere to a particular trading program in spite of trading losses are material points which can also adversely affect actual trading results. There are numerous other factors related to the markets in general or to the implementation of any specific trading program which cannot be fully accounted for in the preparation of hypothetical performance results and all which can adversely affect trading results.

10. Limitation of liability

The use of NinjaScript and any associated services provided by AdvancedSoftwareFeatures — including all affiliated entities, partners, employees, agents, and representatives — is strictly at your own risk. All tools and strategies are provided “as-is” with no performance guarantees. AdvancedSoftwareFeatures does not provide financial or trading advice. The company is not liable for any losses, damages, or consequences resulting from the use of any product or service. All trading decisions are made solely by the user, who assumes full and individual responsibility for any outcomes, including financial loss.

To the extent permitted by law, the Seller’s total liability for any claim related to a product or service is limited to the amount you paid for it in the 12 months before the claim. The Seller is not liable for indirect or consequential losses, including trading losses, lost profits or lost data, or for the operation of NinjaTrader, brokers, data feeds, internet connections or other third-party services. These limits do not apply where the law does not allow them to be limited.

11. Affiliate links

Some links on the Website are affiliate links (for example, to NinjaTrader, QuantVPS, Bulenox and PropFirmConnector). If you buy through them, we may receive a commission at no extra cost to you. Those companies are independent of us and are responsible for their own products and terms.

12. Sanctions

We do not sell to persons in, or acting on behalf of, the Russian Federation, the Republic of Belarus, or any country, territory or person subject to sanctions under the laws of Ukraine, the European Union, the United Kingdom or the United States. We may refuse or cancel such an order without a refund.

13. Governing law and disputes

These Terms are governed by the laws of Ukraine. Please contact us first: most issues are solved by email within a few days. Disputes that cannot be settled this way are resolved by the courts of Ukraine having jurisdiction at the Seller’s location. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence and may bring a claim in the courts there where that law allows it.

14. Changes and validity

We may update these Terms. The version in force at the time of your purchase applies to that purchase; the effective date above shows when the Terms last changed.

If any provision of these Terms is found invalid or unenforceable, it applies to the greatest extent permitted, and the remaining provisions stay in full force.
